The Time + Workspace Group terms and conditions

 

This club offers a flexible work environment operated by Time + Workspace Group Ltd. a company incorporated in England and Wales with company number: 11646149 whose registered office address is at The Building Centre, 26, Store Street, London WC1E 7BT (“hereafter referred to as “we”, “our” or “The Time + Workspace Group”).

1. BASIS OF CONTRACT

 

1.1  The use of The Time + Workspace Group Clubs (as defined at clause 2.1 below) by you is
subject to the following terms and conditions of The Time + Workspace Group (as amended from time to time, (“terms”) to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

 

1.2  We may change these terms from time to time and you should periodically visit our website page at www.timeandspace.work (“the Website”) to review the current terms so you are aware of any revisions. By continuing to use our services, you agree to be bound by any changes to these terms. If you do not agree to abide by these or any future terms, please do not use or access (or continue to use or access) our services.

1.3  In addition, when using certain services, you will be subject to any additional terms applicable to such service that may be posted on the Website from time to time, including, without limitation,
the Website terms of use and the privacy policy found on the Website. All such terms are hereby incorporated by reference to these terms.

2. ETHOS OF THE TIME + WORKSPACE GROUP CLUBS

  1. 2.1  The Time + Workspace Group operate a number of a vibrant and professionally orientated co- workspaces in the U.K (“Clubs”) for members to meet and work for business, collaborative and entrepreneurial purposes on a temporary, flexible, part time basis. It is not a ‘ ‘serviced office’ and members and users are not granted a licence to occupy nor are they permitted to work from The Time + Workspace Group Clubs on an extended, permanent or full-time basis.

  1. 2.2  Save in respect of Flexi desk members who have chosen membership which limits access to a maximum of 40 hours per month, members are granted access to the “Home Club” 24 hours a day, 7 days a week [provided that Flexi Desks are subject to availability]. Each member and authorised guest is entitled to fair, reasonable and equal use of the communal spaces at the Clubs provided always that use by members and their guests of the Clubs is at the sole discretion of The Time + Workspace Group.

  1. 2.3  We have the right to reduce or withdraw access to any of our clubs temporarily (for example, to carry out repairs, maintenance or security work or in the case of third party hires.) We will make every reasonable effort to give you at least 48 hours notice of the change to our operating hours.

  1. 2.4  Please note that whilst we encourage members to collaborate and develop business relationships we do not provide any warranties or recommendations in respect of other members and you are responsible for making your own enquiries and carrying out your own diligence prior to entering into any collaboration and/or business relationship.

3. CHARGES AND PAYMENT

  1. 3.1  Membership and other fees are payable in advance prior to your use of the Clubs as follows:

    (a) Flexi Desk with a maximum of 40 hours access per month - you must pay 1 months’ membership fee in advance. You are not allowed to use the Club for longer than the permitted 40 hours per month If you do you will be charged the membership fee applicable to Resident Desk membership with unlimited access per month. Entry level Flexi memberships are exclusive to the co-work space adjacent to the main building reception on the ground floor only.

    (b) Flexi Desk with unlimited access per month - you must pay 1 months’ membership fee in advance.

    (c) Resident Desk with unlimited access per month - you must pay 2 months’ membership fees in advance.

    (d) Private Studio with unlimited access per month- you must pay 3 months’ membership fees in advance.

    Membership fees are payable from your start date. If you have not paid in advance you will not be able to access and use the facilities. The Time + Workspace Group reserve the right to increase its fees annually and will notify members by email giving a minimum of 20 day’s notice of any increase.

  1. 3.2  Payment of the initial fees is made using credit card which gets collected via The Time + Workspace Group’s integrated online workflow portal. Thereafter you must pay your membership fees monthly
    in advance by direct debit commencing on the date that the pre-payment referred to above expires. Where a direct debit is rejected then you will not be able to access the premises until you have
     made alternative arrangements to pay the fees.

  1. 3.3  Save for printing and photocopying fees which are paid pursuant to clause 9, each member is responsible for payment of any additional charges, fees or costs as they fall due and all additional bills, costs or charges incurred whilst using The Time + Workspace Group are to be paid
    in full before leaving the Club unless the member has made other payment arrangements in advance including via direct debit mandate. Any queries regarding additional bills, costs or charges are to be made before you leave the Club. The Time + Workspace Group reserve the right to increase these fees annually and will notify you by email giving a minimum of 20 days’ notice of any increase.

  1. 3.4  If you incur any charges and fail to make payment to clear the debt within 28 days from the date the charge was incurred, then without prejudice to any other right or remedy The Time + Workspace Group may have, Time + Space shall be entitled to claim interest under the Late Payment of Commercial Debts (interest) Act 1998. In addition further access to the Clubs may be prevented until any and all debts are paid in full.

4. BOOKING OF MEETING ROOMS AND EVENTS

  1. 4.1  Meeting room and event bookings can be made via the Club’s receptionist and once you have used your monthly credit as detailed at clause 4.2 (“Credit”), the fees in respect of such bookings must be paid for in advance. Meeting and events rooms can be booked by the hour in advance on a first come first served basis.

  1. 4.2  As part of your membership fee, members are entitled to a monthly Credit in respect of meeting rooms as follows:

    (a) Flexi Desk members are entitled to use a meeting room for one hour per calendar month without charge.

    (b) Resident Desk members are entitled to use a meeting room for two hours per calendar month without charge.

    (c) Private Studio members are entitled to use a meeting room for three hours per calendar month without charge.

    Members acknowledge and agree that any unused Credits cannot be carried forward at the end of the month and will be lost. They cannot role over into subsequent months. Once the allocated Credit has been used then the applicable charges apply and must be paid as detailed at clause 4.1 above.

  1. 4.3  Members who wish to host an event at a Club are required to complete an ‘events booking form’ and submit this to reception. The Time + Workspace Group may approve or reject proposed events at its discretion. Where an event is approved members will be required to take out their own public liability insurance in respect of the event.

  1. 4.4  Provisional bookings will be held where possible for up to 24 hours only if the meeting or event is within five working days from the date of enquiry.

  1. 4.5  Fees and charges paid in respect of, meeting rooms and event bookings are non-refundable unless:

a. a minimum of 24 hours’ notice is given, where the room is booked on an hourly basis;

b. a minimum of five working days’ notice is given for event bookings;

c. or there is an event or circumstances or causes beyond The Time + Workspace Group’s reasonable control (“Force Majeure Event”) which prevents The Time + Workspace Group from providing the meeting room/event space as further detailed at clause 4.7.

  1. 4.6  You must ensure that the facilities and capacity of the room is suitable for the number of people attending the meeting or event. Where the room’s capacity has been exceeded The Time + Workspace Group reserves the right to ask attendees to leave the meeting/event and/or refuse entry.

  1. 4.7  At our discretion when we agree to bookings from third party contractors on behalf of a member, you acknowledge and accept that we are doing so as your agent and accordingly you are liable to such third-party contractor for all costs etc. You acknowledge therefore that refunds may not be available for any additional services provided by third parties and/or catering booked in advance and in such event you remain liable for paying such costs in full.

  1. 4.8  In the event that a Force Majeure Event (as defined at clause 4.5 above) prevents The Time + Workspace Group from providing the whole or part of the facilities then The Time + Workspace Group shall at its discretion (acting reasonably) provide members with a credit in respect of any affected booking. Where The Time + Workspace Group wishes to cancel a booking at its convenience then a credit equal to the value of the affected booking shall be given to affected members.

5. THE TIME + WORKSPACE GROUP MEMBERSHIP

5.1 Members are provided with an individual membership card that details the members name and home club. For security purposes your membership card must be carried by you at all times when onsite.

Membership of The Time + Workspace Group entitles members to use the facilities at their Home Club and at the other Clubs in the The Time + Workspace Group network, provided always that you cannot spend more than 10 hours per calendar month in total at any of our Clubs which are not your Home Club.

  1. 5.3  The facilities are Flexi desk spaces, event spaces, meeting rooms, break-out or lounge areas and coffee bars or restaurants. This excludes any resident or private suite spaces.

  1. 5.4  Members are required to report lost or stolen membership cards immediately. If a replacement card is required you will be required to pay a fee of £20.00 for such replacement.

  1. 5.5  Membership is strictly non-transferable and cannot be used by any other person. In the event that your membership card is used by a third party then The Time + Workspace Group has the right to either suspend or terminate your membership at its sole discretion and with immediate effect.

  1. 5.6  You may be required to show photographic identification for security purposes prior to being admitted to The Time + Workspace Group Clubs and The Time + Workspace Group reserve the right to refuse entry to any non- members or members who fail to provide identity upon entry.

6. CANCELLATION AND TERMINATION

  1. 6.1  You may cancel your membership on written notice in accordance with the notice periods set out below by emailing us at hello@timeandspace.work. The Time + Workspace Group Ltd reserves the right to serve notice to you in accordance with the following notice periods as set out below:

    (a) Flexi Desk members - you must provide a minimum of 30 days’ notice if you wish to cancel your membership.
    (b) Resident Desk members - you must provide a minimum of 60 days’ notice if you wish to cancel your membership.
    (c) Private Studio - you must provide a minimum of 90 days’ notice if you wish to cancel your membership.

    Cancellation will take effect in accordance with the applicable notice periods stated above and upon receipt of the The Time + Workspace Group conferring its acceptance of the same by email to you. You will be liable for all fees due up until this date. Any pre- paid membership fees are non-refundable.

  1. 6.2  The Time + Workspace Group may terminate your membership immediately on written notice in the event of the following:

    (a) where you are in material breach of these terms including but not limited to where you fail to pay any fees due or repeatedly pay any such fees late.

    (b) you breach The Time + Workspace Group’s Code of Conduct which can be found displayed around the club or available upon request (“Code of Conduct”). The Code of Conduct is deemed incorporated into these terms.

    (c) you become insolvent.
    (d) the club closes due to pending developments and/or restoration works.

    Once your membership has been cancelled or terminated you are not allowed access to the Clubs unless you are an authorised guest.

  1. 6.3  The accrued rights, remedies, obligations and liabilities of The Time + Workspace Group shall be unaffected on termination including the right to claim damages in respect of any breach of these terms which existed at or before the date of termination.

7. GUESTS

  1. 7.1  Members are allowed to invite guests on an occasional basis, for up to 2 hours a day at no additional charge subject to obtaining approval via the Club reception in advance. If you wish to invite guests for a longer period then you must obtain prior written approval from The Time + Workspace Group. If
    any guests are using The Time + Workspace Group Clubs on a regular basis (as determined by Time + Workspace Group) they will be required to become a member.

  1. 7.2  Members are required to inform The Time + Workspace Group of the names of any expected guests in advance of their arrival. Any guests are required to sign-in on arrival and wait in reception until they are collected by you. Members must accompany their guests and are responsible for the behaviour of their guests at all times. Guests must leave the premises when you do.

  1. 7.3  Guests must comply with these terms (and members are responsible for procuring such compliance) and with all reasonable instructions and requests of The Time + Workspace Group. The Time + Workspace Group reserves the right to exclude any guest or to ask them to leave at its sole discretion and without explanation.

7.4 You acknowledge that The Time + Workspace Group has a limited capacity for guests and therefore the number of members and their guests in The Time + Workspace Group is likely to fluctuate and vary from time to time. During busy times, the number of guests allowed may be restricted to allow sufficient space for members.

8. OTHER USERS AND INSURANCE

  1. 8.1  Members and their guests making or receiving telephone calls or holding meetings, whether formal or informal, should be considerate of and respect other members or users of the The Time + Workspace Group and their privacy.

  1. 8.2  Private Studio members are required to obtain their own insurance to cover their liabilities in the Club including public liability and contents insurance. The Time + Workspace Group will maintain building insurance.

9. ADDITIONAL SERVICES

  1. 9.1  The Time + Workspace Group aims to provide a high level of service to its members and their guests but accepts no liability for any temporary breakdown in this service. Any additional services which are offered are done so, subject to availability.

  1. 9.2  The Time + Workspace Group reserve the right to change, modify, or discontinue, temporarily or permanently, the services we provide with or without notice.

  1. 9.3  A set monthly allowance allowing free printing and photocopying in reasonable quantities will be provided to members. Once your monthly allowance has been used then you will be notified and printing and photocopying will be charged at the unit price notified to members. Members will be invoiced monthly in arrears on the last day of the month for any printing and photocopying charges incurred and will be provided with an itemised invoice showing the calculation of such charges. All printing and photocopying is at the discretion of the Club manager and can at any time be withdrawn.

  1. 9.4  Access to a wireless broadband internet connection is included in the membership fee for the benefit of members and their guests. In the event that a member requires their own dedicated private internet or phone connection, which for the avoidance of doubt will be provided via The Time + Workspace Group, then this can be provided subject to the member arranging this with the Club manager and paying the applicable charges, which are available on request.

  1. 9.5  The internet should be used in accordance with all United Kingdom laws, statutes and regulations. Use of the internet connection must not therefore: violate any law, be defamatory, offensive, abusive, indecent, obscene, be harmful in anyway, promote or encourage any unacceptable or illegal behaviour, have any fraudulent purpose or effect, result in any misrepresentation, or damage the integrity, reputation, brand or name of The Time + Workspace Group or the Clubs in any way. Any passwords required for the use of the internet connection must not be divulged to any other party.

  1. 9.6  Where The Time + Workspace Group considers (acting reasonably) that your Wi-Fi use is negatively impacting on the usage by other members then you agree and acknowledge that you may be asked to modify your usage and will agree to limit any excessive usage.

  1. 9.7  Communal kitchen facilities are available at the Clubs and members must adhere to any kitchen rules notified to them. The Time + Workspace Group reserves the right to withdraw some or all of the kitchen facilities at any time.

10. CLUB RULES

  1. 10.1  Any member or their guest must not remove or damage any property, fixtures or fittings belonging to The Time + Workspace Group or any property belonging to any other member, user or their guest. Any removal or damage caused may result in charges being made to the member. Members are politely advised that a visual inventory will be uploaded to Time + Workspace Group’s customer relationship system (CRM) at the start of their membership which will be checked when a member cancels their membership or has their membership terminated.

  1. 10.2  Members and their guests must be aged 18 or over.

  1. 10.3  Members are entitled to receive post at the Clubs but only Resident Desk members or Private Studio members are permitted to use their Home Club’s address as their registered office address. Flexi Desk members are not so permitted but can pay an annual service fee for this privilege charged at £75 per annum + VAT.

  1. 10.4  Smoking and the use of drugs at the Clubs is strictly prohibited. Any member or their guest found to be under the influence of drugs or intoxicated will be asked to leave the Club and their membership will be cancelled.

  1. 10.5  We are a dog friendly workspace operator provided dogs are accompanied at all times by their owner who must be a member of the club. We welcome dogs provided they do not disrupt the co-working environment. This is at the sole discretion of the club manager who may revoke access if deemed necessary.

  1. 10.6  External CCTV is in operation for the purposes of security, crime prevention and public safety. For more information please contact the Club manager.

  1. 10.7  No photography or filming is allowed without prior permission in writing from The Time + Workspace Group. No images of the club can be posted onto social media platforms without prior permission from The Time + Workspace Group.

  1. 10.8  Save as permitted pursuant to clause 10.9 members are not permitted to go beyond the Club space. If found elsewhere in the building, The Time + Workspace Group reserves the discretionary right to cancel your membership and pass your case on to Camber Security Limited, who have the discretionary right to remove you from the building.

  1. 10.9  All members must adhere to policies, rules and regulations in respect of the public and communal areas in the building where the Club is situated and must respect the staff at all times. Failure to do so may result in prohibition from entering and using the building.

  1. 10.10  If the building fire alarm sounds all members and guests should proceed to the nearest fire exit and follow the correct procedures at all times.

  1. 10.11  Should any member or their guest contravene any of the rules set out in paragraphs 10.1 to
    10.10 above or the Code of Conduct or be guilty of misconduct or bad behaviour, be disruptive, violent, abusive, offensive, engage in illegal behaviour or bring the Clubs or The Time + Workspace Group into disrepute, he or she may be expelled immediately with no entitlement to the refund of any fees previously paid.

11. NON-SOLICITATION

11.1 Members and their guests must not make any direct or indirect approach to any The Time + Workspace Group staff for the purposes of recruitment or employment. Any such approach is to be a breach of these terms and conditions and may lead to the cancellation of your membership with no refunds.

12. COMPLAINTS

  1. 12.1  Any complaints should be put in writing to The Time + Workspace Group Ltd at the The Time + Workspace Group address shown above, they will be considered and responded to accordingly.

  1. 12.2  In the event of any dispute arising to the meaning or interpretation of these rules or terms of use, the decision of The Time + Workspace Group will be final.

13. LIMITATION OF LIABILITY AND INDEMNITY

  1. 13.1  Nothing in these term shall limit or exclude The Time + Workspace Group’s liability for:

    (a) death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors;

    (b) fraud or fraudulent misrepresentation; or

    (c) breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).

  1. 13.2  Subject to clause 13.1:

    (a) The Time + Workspace Group shall under no circumstances whatever be liable to you, whether
    in contract, tort (including negligence), breach of statutory duty, or otherwise, for any direct or indirect loss suffered when using the Clubs and their facilities, including but not limited to any loss of profit, loss of revenue, loss of business, loss of opportunity, loss of contract, loss of goodwill, loss or corruption of data or information, special, consequential or economic loss or damage of any kind; and

    (b) The Time + Workspace Group’s total liability to you in respect of all other losses arising under or in connection with these terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the annual membership fees paid by the member or user in any membership year, prior to any liability arising.

  2. 13.3  The terms implied by sections 3 to 5 of the Supply of Goods and Services Act 1982 are, to the fullest extent permitted by law, excluded.

  3. 13.4  Time + Workspace Group, its representatives, sub-contractors or suppliers shall not be liable for any damage, loss, or theft of any member or their guests’ personal belongings whilst

on the premises. The Time + Workspace Group are not responsible to any members for any loss, expense or damages in the event that no desk is available, nor are such members entitled to a refund of fees.

13.5 You shall indemnify, defend, protect and hold harmless The Time + Workspace Group against
all and any losses, liabilities, claims, damages and expenses (including reasonable costs of investigation and lawyer’s fees) (collectively, the “Losses”) arising in connection with or from a breach of these terms by your or your guest.

14. DATA PROTECTION

  1. 14.1  You consent to The Time + Workspace Group holding and processing data relating to you for legal, personnel, administrative and management purposes and in particular to the processing of any “”sensitive personal data”” as defined in the Data Protection Act 1998 relating to you. The Time
    + Workspace Group take the security of your personal data very seriously and will take appropriate technical and organisational measures to safeguard such data.

  2. 14.2  You consent to The Time + Workspace Group making such information available to those who provide products or services to us (such as advisers), regulatory authorities, governmental or quasi- governmental organisations and potential purchasers of Time + Workspace Group
    or any part of its business. If you wish to opt out of The Time + Workspace Group using your information in this way, please notify us in writing at the address set out at the start of these terms.

  3. 14.3  You irrevocably consent to the transfer of such information to The Time + Workspace Group business contacts outside the European Economic Area in order to further its business interests.

15. INTELLECTUAL PROPERTY

15.1 The Time + Workspace Group [or its licensees] owns all intellectual property rights in its branding and you are not entitled to use such rights without The Time + Workspace Group’s prior written consent.

16. THIRD PARTY

16.1 A person who is not a party to these terms may not enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

17. FORCE MAJEURE

17.1 The Time + Workspace Group shall not be in breach of these Terms nor liable for a delay in performing, or failure to perform, any of its obligations under these Terms if such delay or failure results from a Force Majeure Event. In such circumstances The Time + Workspace Group shall be entitled to a reasonable extension of the time for performing such obligations.

18. GOVERNING LAW

  1. 18.1  These terms and any dispute or claim arising out of or in connection with it or their subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the law of England and Wales.

  2. 18.2  The Time + Workspace Group and you irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or their subject matter or formation (including non-contractual disputes or claims).
